Acceptance of Terms

By accessing or using any QGenx website, product, managed service, free online tool, demo, support channel or related platform, you agree to be bound by these Terms and any additional terms referenced here.

If you use QGenx on behalf of a company, partnership, institution or other organisation, you confirm that you have authority to bind that organisation to these Terms. If you do not agree, you must not use QGenx services.

Eligibility, Accounts and Access

You must be at least 18 years old or the age of legal majority in your jurisdiction to use QGenx products and services. Business users must provide accurate account, billing and contact information.

• You are responsible for maintaining the confidentiality of login credentials.
• You must ensure user roles and permissions are assigned carefully.
• You must notify us promptly if you suspect unauthorised access or misuse.
• We may suspend accounts where we reasonably believe there is a security, legal or misuse risk.

Products, Services and Tools

QGenx may provide SaaS products including CRM, HRM, Cloud POS, Quotation & Invoice Builder, Asset Tracker, Purchase Order System, Task Manager and Vendor Reconciliation. QGenx may also provide managed services such as dashboards, reporting, data management, presentations, image processing, website development and reconciliation, along with free online tools.

Specific product features, service deliverables, timelines, prices, usage limits and support commitments may be described in separate proposals, order forms, invoices, service scopes, product pages or written agreements. If those documents conflict with these Terms, the more specific written agreement will apply for that engagement.

Permitted Use

You may use QGenx only for lawful business purposes and in accordance with these Terms. You agree not to misuse the website, products, services, tools or infrastructure.

• Do not attempt to gain unauthorised access to accounts, systems, data, servers or networks.
• Do not upload malicious code, unlawful content, infringing material or data you have no right to process.
• Do not reverse engineer, scrape, copy, resell or exploit QGenx products except as permitted in writing.
• Do not use QGenx to violate privacy, intellectual property, consumer protection, employment, tax, financial or other applicable laws.
• Do not interfere with platform performance, security controls, API limits or other users.

Customer Data and Privacy

You retain ownership of business data, files and content you submit to QGenx, subject to the rights needed for us to provide the requested product, tool or managed service. You grant QGenx a limited right to host, process, transmit, analyse, modify, display and use customer data as necessary to deliver the service, support users, maintain security and improve functionality.

You are responsible for ensuring that customer data is lawful, accurate, backed up where necessary and provided with appropriate permissions. Our privacy practices are described in our Privacy Policy.

Fees, Payment and Billing

Paid products and services are billed according to the applicable plan, proposal, invoice, subscription, order form or written agreement. Unless otherwise stated, fees are quoted in Indian Rupees and exclude applicable taxes.

• Subscription fees may be billed monthly, annually or as otherwise agreed.
• Managed services may require advance payment, milestone payment or recurring retainers.
• Late or failed payments may result in suspension, delayed delivery or restricted access.
• Fees are non-refundable except where required by law or expressly agreed in writing.
• We may update pricing with notice to active customers where required by the applicable agreement.

Intellectual Property

QGenx and its licensors own all rights in our websites, software, interfaces, product designs, logos, visual systems, documentation, templates, code, workflows and other intellectual property, except for customer data and materials owned by you or third parties.

You may not copy, modify, distribute, sublicense, sell, lease, decompile or create derivative works from QGenx intellectual property unless expressly permitted by written agreement.

Managed Service Deliverables

For managed services such as dashboards, reports, presentations, data management, reconciliation, image processing or websites, deliverables depend on the agreed scope, timeline, required inputs and client approvals.

• You must provide accurate files, credentials, brand assets, approvals and feedback within agreed timelines.
• Changes outside the agreed scope may require additional fees or revised timelines.
• Final outputs should be reviewed by your team before business-critical use.
• Website, SEO, reporting or analytics outcomes may vary based on market, data quality, content quality and implementation factors.

Third-Party Services and Integrations

QGenx may connect with or rely on third-party providers such as hosting platforms, payment gateways, analytics services, email tools, messaging platforms, cloud storage, APIs, accounting systems, POS systems or data sources.

We are not responsible for third-party downtime, policy changes, pricing changes, data errors, API restrictions or service failures. Your use of third-party services may be subject to their separate terms and privacy policies.

Availability, Support and Changes

We aim to provide reliable access and practical support, but we do not guarantee uninterrupted or error-free availability. Products, free tools and services may be updated, modified, suspended or discontinued as business, security or technical needs change.

• Maintenance, upgrades or emergency security work may affect availability.
• Free tools may have usage limits and may not include dedicated support.
• Support response times may depend on your plan, service agreement or issue severity.

Suspension and Termination

We may suspend or terminate access if you breach these Terms, fail to pay fees, create security risk, misuse the platform, violate law or cause harm to QGenx, users, customers or third parties.

You may stop using QGenx at any time, subject to payment obligations, notice periods, cancellation terms and export procedures in the applicable plan or agreement. After termination, provisions relating to payment, intellectual property, confidentiality, data handling, disclaimers, liability and dispute resolution will continue where relevant.

Disclaimers and Limitation of Liability

QGenx services are provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted operation.

To the maximum extent permitted by law, QGenx Technologies Private Limited shall not be liable for indirect, incidental, special, consequential, punitive or exemplary damages, including lost profits, business interruption, loss of goodwill, data loss or cost of substitute services.

Where liability cannot be excluded, our total aggregate liability will be limited to the fees paid by you to QGenx for the relevant product or service in the twelve months before the event giving rise to the claim, unless a separate written agreement states otherwise.

Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory applicable law, disputes relating to these Terms, QGenx websites, products, tools or services will be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.

Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date. Material changes may also be communicated through email, website notice, product notice or another appropriate method.

Your continued use of QGenx after updated Terms take effect means you accept the revised Terms.
